Terms of Service
These Terms of Service govern your access to, and use of the website located at www.jokio.com, any related mobile applications, and any technology and platform services, features, content, or functionality made available by Vision Derby Ltd (“Vision”, “we”, “us”, or “our”) (collectively, the “Services”).
By creating an account, depositing funds, placing wagers, clicking “I Agree,” or otherwise using the Services, you confirm that you have read, understood, and agree to be legally bound by these Terms of Service and the Additional Terms - Bet Generation, Private Pools, and Warehoused Bets (“Additional Terms”), together with our Privacy Policy and any additional rules, promotional terms, or wagering rules displayed within the Services (collectively the “Terms”).
If you do not agree to these Terms, you must not access or use the Services.
Licensing Notice. Vision Derby Ltd does not itself hold a wagering license. Vision Derby Ltd provides technology, platform, operational, payment processing support, and customer support services in connection with the Services. All wagering offered through the Services is conducted by AmWest Entertainment LLC ("AmWest") under its Oregon multi-jurisdictional simulcasting and interactive wagering totalizator hub license issued by the Oregon Racing Commission. Vision operates as a platform partner of AmWest. By placing a wager through the Services, you acknowledge that your wagering transaction is conducted by AmWest as the licensed wagering operator. All wagers are deemed placed in the State of Oregon and are subject to applicable Oregon racing and wagering laws and Oregon Racing Commission oversight.

Definitions.
In these Terms, the following definitions will apply:
“Account” means the user account made available through the Services and maintained by Vision on behalf of AmWest in connection with pari-mutuel wagering activity, which may reflect a cash balance, promotional credits, bonuses, or other permitted wagering credits.
"Account Restriction" means a partial limitation of account functionality imposed by Vision, including but not limited to limiting or blocking deposits, withdrawals, wagering activity, access to specific features or products, or any combination of the foregoing, without closing or suspending the account in its entirety.
"Account Suspension" means a temporary and complete restriction of access to your account and all associated Services, during which you may not deposit, wager, withdraw, or otherwise interact with the account, pending resolution of the matter giving rise to the suspension.
"Account Termination" means the permanent closure of your account and the cessation of your right to access or use the Services, following which Vision will return any cleared and unencumbered funds standing to your account balance in accordance with section 19, subject to any legal, regulatory, or compliance hold.
1. Eligibility
The Services are intended only for individuals who are 21 years of age or older, or any higher minimum age required by applicable law. Real-money wagering features are available only where permitted by law and only to users who satisfy all legal and regulatory requirements.
To establish and maintain an Account, you represent and warrant that your Principal Residence Address is located in a permitted jurisdiction listed in this Section 1. If your principal residence changes to a non-permitted jurisdiction, you must immediately stop using the wagering services and notify support.
Vision currently makes available wagering services only to users physically located within the following U.S. states:
You must be physically located within one of these jurisdictions when accessing wagering functionality. Availability of wagering services may change based on regulatory or contractual requirements. Vision may refuse service, restrict access, or suspend Accounts and without prior notice where necessary to comply with legal or regulatory requirements.
2. User Accounts
2.1 Account Creation
To access certain Services, as a user, you must create an Account. You agree that:
Accounts may not be transferred, sold, or assigned to another person.
2.2 Personal Use
Accounts are strictly personal. You must not allow another person to access or use your Account. Funds, credits, or promotions may not be transferred between users.
3. Identity Verification and Compliance
Vision will require identity verification before allowing deposits, wagering, or withdrawals. Wagering access will not be granted until age verification is complete, and Vision has confirmed that the applicable minimum age requirement is satisfied. Verification may include:
Vision may also conduct fraud detection, sanctions screening, anti-money-laundering checks, and other compliance monitoring. During any pending verification process, Vision reserves the right to restrict Account functionality, including limiting withdrawals, until verification is successfully completed. Vision will not unreasonably delay the verification process. If verification cannot be completed to Vision’s satisfaction, or if Vision determines at any time that previously provided verification information was false, incomplete, or obtained by deception, Vision may impose an Account Restriction, Account Suspension, or Account Termination in accordance with section 19. Any suspension or restriction of Account access under this section may take effect immediately and without prior notice to you. Vision will notify you of the suspension and the reason for it as soon as reasonably practicable, subject to any legal or regulatory restriction on disclosure. You may dispute any verification-related suspension through the process set out in section 23.
Biometric Verification
Vision may use identity verification providers that process biometric information such as facial geometry, liveness templates, and other biometric identifiers to confirm identity. Vision will identify the third-party provider used to process biometric data at the point of collection (via a visible link, pop-up or integrated interface notification). Biometric data collected for verification purposes will be retained only for as long as necessary to complete verification and will be permanently destroyed within 3 years of collection unless a longer period is required by applicable law or where the corresponding Account is currently subject to an active Account Restriction, Account Suspension, fraud investigation, or anti-money laundering compliance review under Section 19, in which case the data shall be preserved until the investigation is formally resolved.
Regulatory Data and Retention
Notwithstanding any Account Termination, or consumer data deletion request submitted under applicable privacy laws, you acknowledge that AmWest may retain certain information as required to comply with applicable legal and regulatory obligations, including licensing requirements of the Oregon Racing Commission and federal anti-money laundering laws and regulations.
“Regulatory Data” includes, but is not limited to, identity verification records, KYC/AML screening history, live pari-mutuel wagering transaction logs, funding and banking history, deposit and withdrawal records, account ledger balances, transaction histories, and responsible gaming or self-exclusion records. AmWest shall be solely responsible for safeguarding and securing all Regulatory Data.
AmWest will securely retain and archive such Regulatory Data for at least ten (10) years following Account Termination, or for any longer period required by applicable law or any competent regulatory authority.
4. Account Security
You are responsible for safeguarding your Account credentials. You agree to:
Vision is not responsible for losses resulting from unauthorized access where Account security has not been maintained by you.
5. Deposits and Funding
Vision may allow deposits through multiple payment methods including:
Vision may change available payment methods at any time. Deposited funds may be made available for wagering before they fully clear. Such funds may not be eligible for withdrawal until clearing is complete. If a deposit is reversed, rejected, or charged back, you remain responsible for the amount owed and any related fees. Vision may recover such amounts from your Account balance or other payment methods previously used.
Vision may administer certain Account functions on behalf of AmWest; however, all wagering activity and associated funds (player deposits and winnings) are maintained pursuant to applicable racing and gaming laws and regulations and AmWest’s applicable license.
6. Withdrawals
Withdrawals must be requested through the Services and may require additional identity verification or compliance checks. Withdrawable funds generally consist of cleared balances less:
Promotional credits are not cash and cannot be withdrawn. Withdrawal requests are typically processed within five business days, although additional time may be required for:
Where reasonably practicable, withdrawals will be returned to the same payment method used for the original deposit in order to comply with anti-money-laundering and payment processor requirements. Vision may require withdrawals to be returned to the original funding source before alternative withdrawal methods are permitted where necessary for compliance, security, or technical reasons. Vision may establish minimum withdrawal amounts depending on the payment method used.
Users are responsible for any taxes associated with winnings. Horse racing winnings of $600 or more are reportable to the IRS on Form W-2G. Where winnings are $600 or more and at least 300 times the amount wagered, federal income tax withholding at 24% is mandatory under applicable law and Vision or AmWest will withhold and remit that amount to the IRS before crediting the net amount to your account. Vision or AmWest may be required to report winnings to applicable tax authorities where required by law and may request and collect tax documentation, including IRS Form W-9 or similar tax forms, prior to processing withdrawals or payouts. Vision or AmWest may withhold or delay withdrawals where required to comply with tax reporting or withholding obligations under applicable law.
AmWest is responsible for all tax reporting and withholding obligations arising from wagering activity conducted under its Oregon license, including the collection and remittance of any required tax amounts to the Internal Revenue Service or other applicable tax authorities.
AmWest may also be required to request tax documentation, including IRS Form W-9 or similar forms, prior to processing withdrawals or payouts. AmWest may withhold or delay payouts to the extent required by applicable tax laws, regulatory requirements, anti-money laundering obligations, fraud prevention measures, payment processor requirements, or settlement corrections under applicable wagering rules. Vision, acting on behalf of AmWest, reserves the right to place an operational freeze on any withdrawal request during the period of a compliance review under Section 11 or Section 19, and no funds shall be deemed "cleared" or "withdrawable" while such investigation is active.
Vision facilitates the presentation of tax-related information and supports operational processes on behalf of AmWest but does not itself act as the wagering operator for tax withholding purposes.
7. Currency and Account Balances
All deposits, wagers, and winnings are denominated in United States Dollars (USD). The Platform does not issue or accept any alternate, virtual, or in-game currency. Any reference to a “wager balance” or “unrevealed payouts” represents USD held in the user’s Account ledger. “Unrevealed payouts” refers to wager payouts that have been determined but not yet revealed through the interactive game interface described in the Additional Terms (section 8). All such amounts are held in your USD Account ledger and may be revealed or withdrawn at any time. All payouts from settled, live wagering transactions are immediately credited to your United States Dollar ledger and are fully withdrawable at any time, subject to standard identity verification and compliance checks. A user’s legal entitlement to, and immediate withdrawal of, their cash balance is entirely independent of, and never contingent upon, their participation in, completion of, or interaction with any interactive visual reveal features, animation cycles, or graphical user interfaces. No portion of a user’s balance is contingent upon gameplay or any separate game mechanic or feature.
Users may request at any time that all funds, including unrevealed payouts, be displayed and made available for withdrawal in USD, subject to applicable withdrawal procedures, verification requirements, and compliance checks. No portion of a user’s balance is contingent upon gameplay or any separate game mechanic or feature. Users may also view their Account statement at any time to see all live horse racing wagers placed, along with corresponding USD payouts, regardless of whether those payouts are currently displayed in the main interface.
All Account balances are held on our Totalizator provider’s system in a single USD account ledger. All wagers and payouts are transacted directly against that ledger. All Account balances are audited daily and Account activity reconciled on a regular basis. All player funds, including unrevealed payouts, are held by AmWest in segregated Player Funds Accounts maintained pursuant to AmWest’s Oregon Racing Commission hub license and applicable Oregon law and regulations (including ORS 462.725 and OAR 462-220-0060), which require player funds to be held separately from AmWest’s operating accounts and to be available to satisfy player balances. AmWest is responsible for maintaining control over, and the safeguarding of, player funds under its license and applicable Oregon law and regulations; Vision facilitates deposits, withdrawals, and the display of balance information through the Services.
The interactive reveal mechanics available through the Services are presentation features only and do not alter, determine, generate, or affect pari-mutuel wager outcomes, payouts, or win probabilities.
8. Wagering Rules
Wagers may only be placed if sufficient funds are available in your account. Wager amounts are deducted from your account balance before submission. Once confirmed, wagers are final and cannot be cancelled unless a cancellation function is explicitly provided. Vision may refuse, delay, restrict, or void wagers where necessary to:
Live wagers placed through the Services may be merged with pari-mutuel wagering pools operated by licensed racetracks or wagering providers. Once accepted into a wagering pool, wagers cannot be cancelled or modified except where permitted by applicable rules or regulations. All wagers are processed by AmWest under its Oregon multi-jurisdictional simulcasting and interactive wagering totalizator hub license. All wagers are deemed placed in the State of Oregon. Some wagers offered through the Services are Warehoused Bets - live pari-mutuel wagers previously placed by AmWest into licensed wagering pools before the relevant race pool close time, and subsequently made available to users through the Services following settlement. Some wagers may also be placed into Private Pools (B-Pools) operated by AmWest, which are separate pari-mutuel pools from the host racetrack pool and may have materially different pool liquidity, odds, and produce different payouts from the corresponding host racetrack wagering pools. These features are described in full in the Additional Terms — Bet Generation, Private Pools, and Warehoused Bets, which form part of these Terms and which you should read carefully before wagering. When placing a wager, you may choose whether to view the specific wager details before confirming. If you choose not to view wager details, you authorize Vision to fulfil your wager from Warehoused Bet inventory and you acknowledge that the race underlying your Warehoused Bet may already have concluded before the wager is assigned to you. If no Warehoused Bet of your requested amount is available, AmWest will instead place a live wager into the Host Pool for the next available race. In such a scenario you will receive a live wager rather than a Warehoused Bet. Your choice not to view details applies to this fallback as well. These mechanics are described in full in the Additional Terms, which you should read carefully before wagering. Wagers are subject to the rules and regulations of the applicable racetrack, wagering hub, and regulatory authority. If a race is cancelled, declared a “no contest,” or if a wagering pool is voided by the host track or wagering provider, affected wagers will be settled in accordance with the applicable pari-mutuel rules.
9. System Errors and Technical Malfunctions
Vision strives to provide accurate wagering information but cannot guarantee that the Services will always operate without error. If a system malfunction, technical error, or operational issue occurs, Vision reserves the right to:
The official Totalizator records and wagering ledgers maintained by AmWest, shall be the final, and overriding authority in determining wagers, account balances, and game outcomes, subject to applicable law, regulatory requirements, and any corrections required by applicable wagering rules. In the event of any technical conflict, latency, or data variance between the presentation display of the front-end interface and AmWest’s totalizator backend system, the AmWest ledger balance shall govern completely, and Vision reserves the right to correct account balances to mirror the totalizator reality without liability. Vision is not responsible for errors or delays in wagering data, race information, odds, or other information supplied by third-party data providers or wagering partners.
9.1 Obvious Errors
Vision reserves the right to correct or cancel wagers that are placed or settled based on an obvious error. An obvious error includes, but is not limited to:

Vision’s determination that an obvious error has occurred shall be made in good faith based on the available information and applicable wagering rules. Vision shall not be responsible for errors or delays in race results, wagering data, odds, or other information provided by third-party data providers, wagering partners, or racetrack operators.
10. Geolocation and Location Verification
Vision may use geolocation technologies to verify your physical location when accessing wagering features. If location verification fails or is disabled, wagering functionality may be restricted. Users must not use VPNs, proxy servers, remote desktop services, or similar tools to disguise their location. Vision may suspend Accounts or void wagers where location circumvention is detected.
11. Fraud, Abuse, and Prohibited Conduct
Users must not engage in activities intended to manipulate, exploit, or abuse the Services. Prohibited activities include:
Vision may investigate suspicious activity and may suspend or close accounts where violations occur. Where fraudulent or abusive activity is identified, Vision may:
11.1 Exploitation of System Delays
Users must not attempt to exploit delays or latency in wagering systems, data feeds, or network transmission. This includes, but is not limited to:

The Services may include chat features, competitions, or other social interactions. You agree not to post content that:
Vision may remove content or restrict user participation where necessary. By posting content within the Services, you grant Vision a license to use and display that content for the operation and promotion of the Services.
14. Responsible Gaming
Vision supports responsible gaming practices. Players are encouraged to review our Responsible Gaming Policy , which provides information on safer play tools, self-exclusion options, deposit limits, cool-off periods, and support resources. Self-exclusion, cool-off restrictions, and responsible gaming controls apply across all features of the Services, including Warehoused Bets and interactive reveal mechanics. Users must not attempt to circumvent responsible gaming controls through creation of multiple accounts or other means. The Responsible Gaming Policy forms part of these Terms and is incorporated by reference. If you or someone you know has a gambling problem, help is available from the Oregon Council on Problem Gambling at 1-877-MY-LIMIT (695-4648) or www.opgr.org. Users must not attempt to bypass Responsible Gaming restrictions by creating additional accounts.
15. Inactive Accounts
Unless prohibited by applicable law, the Company may, in its sole discretion, consider and treat Your User Account as inactive if you have not logged into your User Account, made a deposit, or made a withdrawal from your User Account for a period of thirteen (13) consecutive months. If your User Account becomes inactive, Vision may charge a monthly inactivity fee in the amount of 5% of the User Account balance or $5.00 USD, whichever is greater. The inactivity fee will be capped at $100.00 USD per month. You can reactivate your User Account by logging in to your User Account, making a deposit, or making a withdrawal. Fees charged for inactive User Accounts will not be refunded.
If Your User Account becomes dormant in accordance with applicable state law and funds remain in the User Account, the Company and AmWest will comply with applicable state laws relating to unclaimed property. To the extent permitted by applicable law, the Company or AmWest may also charge additional fees associated with the delivery of abandoned funds to the applicable state agency.
16. Communications
Vision may communicate with users via:

17. Intellectual Property
All intellectual property in the Services is owned by or licensed to Vision. Users are granted a limited, non-exclusive license to access and use the Services for personal, non-commercial purposes. Users must not:

Vision is not responsible for third-party services that it does not control.
19. Account Restriction, Suspension or Closure
19.1 Vision may impose an Account Restriction, Account Suspension, or Account Termination in the circumstances set out in these Terms, including under sections 3 and 19 of the main Terms of Service and under the Additional Terms where applicable.
19.2 Any Account Restriction, Account Suspension, or Account Termination may take effect immediately and without prior notice to you where Vision reasonably determines that immediate action is necessary, including where Vision suspects or has identified fraud, money laundering, use of a false or synthetic identity, regulatory non-compliance, a material breach of these Terms, a chargeback or payment dispute, or any other matter that in Vision's reasonable judgement requires urgent action to protect the integrity of the Services, other players, or Vision's regulatory obligations.
19.3 Where Vision imposes an Account Restriction, Account Suspension, or Account Termination that is not urgent in nature, Vision will endeavor to provide you with reasonable advance notice before the action takes effect.
19.4 In all cases, whether or not prior notice is given, Vision will notify you of the Account Restriction, Account Suspension, or Account Termination and provide such information about the reason(s) as Vision is permitted to disclose under applicable law and regulatory requirements, as soon as reasonably practicable following the action taking effect.
19.5 You may dispute any Account Restriction, Account Suspension, or Account Termination through the dispute resolution process set out in section 23. The existence of a dispute does not automatically entitle you to restoration of account access pending resolution, but Vision will take any dispute into account when determining whether the relevant action should be maintained, modified, or lifted.
19.6 On Account Termination, Vision will endeavor to return any cleared and unencumbered funds standing to your Account balance within ten (10) business days of the date of termination, subject to any legal, regulatory, or compliance hold, any outstanding verification requirement, or any amount that is the subject of a pending dispute, chargeback, or investigation. Vision will notify you of any such hold, if any, and the expected timeframe for resolution. Users may dispute any withholding through the process set out in section 23. In the event of Account Termination and you have any unrevealed Warehoused Bet results, you can use Instant Reveal at any time to see your results and have any winnings credited to your Account before we can facilitate the return of your funds. Please do this before or promptly after receiving your termination notice. If an Account is terminated or suspended under Section 11 for prohibited conduct, all unrevealed Warehoused Bets and any associated unrevealed payouts shall be frozen immediately. Such balances shall not be considered "cleared or unencumbered funds" and will remain locked pending a final compliance determination by AmWest and, if required, formal reporting to the Oregon Racing Commission.
20. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. Vision does not warrant or guarantee that the Services will be uninterrupted, secure, or error-free. Wagering involves risk and you may lose the full amount wagered. Vision is not responsible for interruptions, delays, or failures caused by internet service providers, telecommunications networks, mobile carriers, user devices, software errors, or other technology outside Vision’s reasonable control.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Vision and its parent, affiliates, subsidiary, and their respective officers, directors, employees, contractors, licensors, service providers, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of, or inability to use, the Services or any as a result of any wager(s) placed by you. This includes, without limitation, damages for:

To the maximum permitted by applicable law, Vision is not responsible for any losses or damages resulting from:
To the fullest extent permitted by law, Vision’s total aggregate liability arising out of or relating to the Services, these Terms, or any transaction conducted through the Services shall not exceed the greater of:
This cap applies to claims for damages only and does not limit, reduce, or affect: Vision’s obligation to pay cleared funds standing to the credit of your Account in accordance with section 6 (Withdrawals) and section 19.6; (ii); or (ii) liability for fraud, gross negligence, or willful misconduct of Vision.
Nothing in these Terms excludes or limits liability, or any consumer rights or protections, where such limitation or exclusion would be unlawful under applicable state or federal law, including any non-waivable statutory consumer protection or wagering-customer right.
For the avoidance of doubt, Vision's liability under these Terms relates solely to the Services Vision provides. Vision is not the licensed wagering operator and is not liable for the settlement, payment, or administration of pari-mutuel wagers, which are AmWest's responsibility under its Oregon license. Nothing in these Terms affects any rights you may have against AmWest under applicable Oregon racing and wagering law, state or federal consumer-protection law, or any direct disclosures AmWest may make to you.
22. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Vision and its parent, affiliates, subsidiary, and their respective officers, directors and employees from claims arising from:
23. Dispute Resolution, Arbitration and Class Action Waiver
23.1 Informal Resolution First
Before starting any court action or arbitration, you and Vision agree to try to resolve any dispute informally for at least thirty (30) days. If you wish to raise a dispute, you must first send written notice to [email protected] with the subject line “Notice of Dispute” and include:

23.2 Agreement to Arbitrate
Before initiating arbitration, players may also escalate unresolved complaints to the Oregon Racing Commission as described in section 24.
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your account, any wager, transaction, promotion, communication, or your relationship with Vision, including any issue concerning the validity, enforceability, scope, or applicability of this arbitration provision, shall be resolved exclusively by final and binding arbitration on an individual basis, rather than in court. The arbitrator, and not any court or judge, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision.
23.3 Right to Opt Out of Arbitration
If you do not wish to agree to the provisions of this section 23 agreement requiring arbitration and class action waiver and you have not previously agreed to an arbitration provision in connection with your use of our service, you must, within thirty (30) days of entering this agreement, click the following link arbitration opt-out and enter any requested details. Requests to opt-out after the 30-day period shall not be effective. If you opt out of arbitration, disputes will be resolved in accordance with Section 25 (Governing Law and Courts).
23.4 Arbitration Rules and Forum
The arbitration shall be administered by Judicial Arbitration and Mediation Services (“JAMS”) pursuant to the JAMS Streamlined Arbitration Rules and Procedures then in effect, except as modified by these Terms. Unless the parties agree otherwise, the arbitration shall be conducted before a single arbitrator. The arbitration shall take place in Delaware, USA, except that it may be conducted remotely, by video conference, by telephone, or on written submissions if permitted by the arbitrator.
23.5 Class Action Waiver
To the fullest extent permitted by law, you and Vision agree that any dispute shall be brought only in an individual capacity and not as a plaintiff, claimant, class representative, class member, or participant in any purported class, collective, coordinated, consolidated, representative, or private attorney general proceeding. The arbitrator shall have no authority to hear or arbitrate any class, collective, or representative claim, or to consolidate claims of different users.
23.6 Mass Arbitration
If twenty-five (25) or more users submit arbitration demands involving similar claims against Vision within a ninety-day period, the parties agree that such demands may be administered in batches as determined by the arbitration administrator. The arbitrator may resolve common issues applicable to multiple claims to promote efficient resolution of disputes.
23.7 Jury Trial Waiver
To the fullest extent permitted by law, by agreeing to these Terms, you and Vision waive any right to a trial by jury in connection with any dispute arising out of or relating to these Terms or the Services.
23.8 Exceptions
Nothing in this Section prevents either party from:
23.9 Arbitration Fees
Payment of arbitration fees shall be governed by the applicable JAMS rules, except that each party shall bear its own legal fees and costs unless the arbitrator determines otherwise under applicable law.
23.10 Severability of Arbitration Provision
If any part of this Section 23 is found to be invalid or unenforceable, the remainder shall remain in effect, except that if the class action waiver in Section 23.5 is found unenforceable for a particular claim, then that claim shall proceed only in a court of competent jurisdiction and not in arbitration.
23.11 Time Limit for Claims
Any claim arising out of or relating to the Services or these Terms must be brought within one (1) year after the claim arises, unless a longer period is required by applicable law. Claims not brought within that time are permanently barred.
24. Oregon Regulatory Disclosures
All wagering through the Services is conducted by AmWest Entertainment LLC under license from the Oregon Racing Commission. AmWest’s Oregon hub license number is [License No. 26-600] The Oregon Racing Commission may be contacted at: Oregon Racing Commission, 800 NE Oregon Street, Suite 310, Portland, OR 97232. If you have a complaint about the Services that cannot be resolved through Vision’s internal dispute resolution process, you may contact the Oregon Racing Commission directly.

25. Governing Law and Courts
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. Subject to Section 23, and subject to any mandatory legal rights that may apply under applicable law, any legal action or proceeding that is not required to be resolved by arbitration shall be brought exclusively in the state or federal courts located within the State of Delaware, and the parties consent to the jurisdiction of those courts. If a court of competent jurisdiction determines that Delaware law cannot lawfully apply to a particular dispute, the court shall apply the law required by the applicable jurisdiction only to the minimum extent necessary, while otherwise giving maximum effect to this provision.
Notwithstanding the foregoing, wagering transactions conducted pursuant to AmWest’s Oregon license remain subject to applicable Oregon racing and wagering laws and regulations.
26. Miscellaneous
If any provision of these Terms is held invalid, the remaining provisions remain in effect. Vision may assign these Terms to affiliates or successors. These Terms constitute the entire agreement between Vision and users of the Services.
Additional Terms - Bet Generation, Private Pools, and Warehoused Bets
1. What These Terms Cover
These Additional Terms cover three features of the Service:
Bet Generation - the process Vision uses to generate live pari-mutuel wagers for you, which are then placed by AmWest through its Licensed Hub Accounts.
Private Pools (also called B-Pools) - pari-mutuel pools that AmWest operates through its Licensed Hub Accounts that are separate from the underlying Host Pool (A-Pool) and that settle based on the official running order of an underlying A-Pool event.
Warehoused Bets - pari-mutuel wagers previously placed by AmWest before the applicable Pool Close Time and later made available to users through the Services .
These Additional Terms supplement the main Terms of Service which apply to all other terms and provisions of Service, including your (the user) account, deposits, withdrawals, eligibility, and dispute resolution, etc.
LICENSING NOTICE
Vision Derby Ltd (“Vision”) provides technology, platform, and operational services in connection with the features described in these Additional Terms, while all wagering activity is conducted by AmWest as the licensed wagering operator.
2. Definitions
In addition to those defined terms set out in the main Terms of Service, the following definitions will also apply:
Account: has meaning set out in the main Terms of Service.
Bet Generation: the algorithmic process Vision uses to generate one or more pari-mutuel wagers on your behalf, with the total wager amount as selected by you.
Host Pool (also called an A-Pool): the pari-mutuel pool at the host racetrack.
Licensed Hub Account: an advance-deposit wagering account held by AmWest under its regulatory licenses, through which AmWest is authorized to place pari-mutuel wagers into the Totalizator on behalf of its users.
Licensed Race Meet: a series of pari-mutuel horse races conducted under a license or authorization from the applicable racing commission or other regulatory authority.
Official Results: the order of finish declared official by the race meet licensee.
Pool Close Time: the official time at which the Totalizator closes for wagering on a race, as declared by the race meet licensee.
Private Pool (also called a B-Pool): a live pari-mutuel pool AmWest operates for its users under its Licensed Hub Accounts.
Totalizator: the tote system that records pari-mutuel wagers and calculates payoffs.
Warehoused Bet: title to a group of live pari-mutuel wagers that AmWest placed on a race at a Licensed Race Meet before Pool Close Time, through the Totalizator, using AmWest's own funds. When you purchase a Warehoused Bet through the Vision platform, title to the group of wagers transfers to you; the underlying pari-mutuel tickets stay on the Totalizator in AmWest's Licensed Hub Account.
3. Private Pools
Wagers placed through the Service may be placed by AmWest into Private Pools that it operates through its Licensed Hub Accounts. Payouts from any or all bet types in a Private Pool may differ from payouts in the Host Pool because they are separate pari-mutuel pools. No wager is placed into any Private Pool after that race's Totalizator has closed.
4. Bet Generation
When you place a wager, Vision generates one or more live pari-mutuel wagers on your behalf using proprietary algorithms, which are then placed by AmWest through its Licensed Hub Accounts. The generated bets may include any legal pari-mutuel pool type supported by the underlying totalizator system, which may include:
Win (WIN), Place (PLC), Show (SHW), Exacta (EX), Quinella (QU), Trifecta (TRI), TRL, Superfecta (SPR), PEN, HEX, Daily Double (DBL), Pick 3 (PK3), Pick 4 (PK4), Pick 5 (PK5), Pick 6 (PK6), Pick 7 (PK7), Pick 8 (PK8), Pick 9 (PK9), Pick 10 (P10), Pick 11 (P11), Pick 12 (P12), and any others supported.
Non-Warehoused Wagers
For wagers that are not Warehoused Bets, Vision's algorithms may apply proprietary strategies, including probability-weighted allocation, handicapping inputs derived from AI or machine-learning models, and other analytical methods. These are designed to support wager generation within modern pari-mutuel pools, which include significant participation by institutional Computer-Assisted Wagering operations ("CAW"). Neither Vision nor AmWest guarantees any particular outcome, positive return, or performance advantage over any other wagering method. You may lose the entire amount you wager.
Warehoused Bets
For Warehoused Bets, Vision allocates your wager across the pari-mutuel pools available for the race and selects combinations within each pool by uniform random sampling. The randomization process applies solely to the selection of underlying pari-mutuel wager combinations and does not determine race outcomes or pari-mutuel payouts. Every feasible combination in a pool has the same chance of being generated, with no weighting by odds, expected payoff, or outcome.
The Warehoused Bet system is designed as a procedurally neutral, equal-chance framework for all users:
Uniform random combination selection at the time of placement.
"Next Up" dispensing: groups of wagers are dispensed in strict first-in, first-out (FIFO) order by original placement date.
Group-level dispensing only; individual wagers are never separated from a group for sale.
Operational controls are designed to prevent users, customer-facing Vision personnel and ordinary sale-path systems from accessing or selecting Warehoused Bet outcomes prior to assignment.
Nothing in this section guarantees winnings or any particular outcome. Past algorithmic performance or strategy outcomes are not indicative of future results. AI or machine-learning-generated wagering strategies do not reduce wagering risk or guarantee any performance advantage over other wagering methods. You bear full risk of loss on all wagers regardless of the strategy applied.
5. Whether to View Wager Details
When you place a wager, you may choose whether to view the proposed bets before you confirm.
If you view wager details. You see the generated bets before confirming. You may request a re-generation if you do not want to accept the current proposal. When you confirm, AmWest places those wagers on your behalf, facilitated by Vision.
If you do not view wager details. You authorize Vision to fulfill your wager, where possible, by transferring a Warehoused Bet from existing inventory. By choosing not to view details, you acknowledge and accept that you will not know the specific runners, events, races, or pool compositions underlying your Warehoused Bet before purchase. You also acknowledge and agree that the underlying pari-mutuel wagers associated with a Warehoused Bet may already have concluded prior to assignment to you.
Fallback. If no Warehoused Bet of your requested amount is available, AmWest will instead place a wager into the Host Pool for the next available race, generated through Bet Generation by Vision. Your choice not to view details applies to this fallback as well.
Once confirmed, wagers cannot be cancelled or modified.
6. Warehoused Bets
Every Warehoused Bet is a live pari-mutuel horse-racing wager that AmWest placed before the race's Pool Close Time. This is the defining feature of a Warehoused Bet.
When you purchase a Warehoused Bet, Vision transfers title to a group of such wagers. The group stays on the Totalizator in AmWest's Licensed Hub Account; nothing moves off the Totalizator, no new wager is created, and no pool event is triggered by your purchase.
6.1 Placed Before Pool Close Time
Every live pari-mutuel wager in every Warehoused Bet group in AmWest's inventory was generated, submitted to the Totalizator, and accepted into the applicable pool before the race's Pool Close Time. Placement timestamps are recorded independently by AmWest and by the third-party totalizator provider.
6.2 Already Settled When Offered to You
By the time a Warehoused Bet is offered to you, the race has been run, the Official Results have been declared, and the Totalizator has settled the pari-mutuel payoff against AmWest's Licensed Hub Account. The group's payoff is a fixed U.S. dollar amount at the time of your purchase. No pari-mutuel pool event occurs at, or is triggered by, your purchase; your purchase transfers title in an already-settled pari-mutuel position. The interactive reveal experience does not alter or determine the outcome or payout associated with the underlying pari-mutuel wagers.
6.3 You Do Not Select the Contents
You cannot select or see the specific runners, events, races, or pool compositions in your Warehoused Bet group before purchase. You are purchasing title to an existing, already-placed, already-settled group of wagers.
6.4 Dispensing Order (Next Up)
Warehoused Bet groups are dispensed from AmWest's inventory in strict "Next Up" order. "Next Up" means first-in, first-out (FIFO): the group with the oldest original placement date is the next group to be transferred. No dispense decision considers the outcome, expected value, or payoff of any group, and no user has priority over any other user.
6.5 Group-Level Only
Vision only makes Warehoused Bets available at the group level. Neither Vision nor AmWest separates, reconfigures, or transfers title in individual wagers separately from the group in which they were originally placed.
6.6 Reservation and Finalization
When you start a Warehoused Bet purchase, the group is reserved for you for a short period while the transaction completes. If the transaction does not complete in time, the group returns to available inventory. Once your purchase is finalized, it cannot be cancelled or modified.
6.7 Inventory Freshness
In normal operation, Warehoused Bets reflect pari-mutuel wagers placed during recent daily racing operations. During the initial launch of the Service in a newly offered state or brand, AmWest seeds inventory ahead of observed demand, so groups offered in that limited window may reflect wagers placed earlier than is typical. Where a Warehoused Bet group available to you falls within the launch period described above, this will be disclosed to you at the point of purchase before you confirm your wager. In all cases, every underlying wager was a live wager placed before Pool Close Time.
6.8 Settlement and Credit
Your Warehoused Bet is settled solely on the Official Results and the applicable pari-mutuel pool calculations. At the time of title transfer, your Account is credited in U.S. dollars with the group's fixed pari-mutuel payoff.
6.9 Equipment Failures
If a wager in a group did not successfully enter the applicable pool (for example, due to equipment failure), that group is held out of saleable inventory and is never offered to you.
6.10 Risk of Loss
A Warehoused Bet is a real pari-mutuel wager. Its aggregate payoff is determined by the pari-mutuel pools and the Official Results, and may be zero. You may lose the entire amount you paid for the group.
7. If a Non-Warehoused Wager Is Chosen and Cannot Be Placed
This section applies only to non-Warehoused wagers. If AmWest cannot place one or more of the generated bets because the Totalizator or applicable pool is unavailable at the time of submission, Vision will either coordinate the placement of an equivalent substitute wager by AmWest or refund the amount to your Account. By confirming a non-Warehoused purchase, you authorize this handling. This section does not apply to Warehoused Bets.
8. Reveal of Results Through Games
The Service may reveal your wager outcomes through an interactive game interface. The interactive game interface is only a reveal mechanism and does not generate, modify, influence, or affect wager outcomes, pari-mutuel payouts, or win probabilities; your actual outcome is determined entirely by the Official Results. No action in the interactive game interface affects what you win or lose.
You may select "Instant Reveal" or a similar option at any time to see all pending outcomes immediately. If a technical issue prevents reveal through the game, Vision may deliver your results through an alternative mechanism.
Pari-mutuel payoffs are credited to your Account once the applicable race is declared official. The balance shown in the game interface may lag the underlying Account balance until you reveal the corresponding results.
9. Nature of Product
Warehoused Bets are not casino games, slot-machine products, or random-number-generated gambling products. Every Warehoused Bet originates exclusively from live pari-mutuel horse-racing wagers previously placed by AmWest into licensed pari-mutuel wagering pools before the applicable Pool Close Time. The Services do not alter race outcomes, create synthetic sporting events, or independently generate gambling outcomes.
10. Timing Estimates
The Service may display estimated times for when results will be available. Estimates are a convenience only. Vision is not liable for the accuracy of any timing estimate or for any decision you make in reliance on it. AmWest’s liability in respect of the underlying pari-mutuel settlement and any related timing remains subject to applicable racing law, AmWest’s Oregon license and any separate disclosures AmWest provides to you.
11. Funding for Warehoused Bet Purchases
In addition to the Account and payment provisions of the main Terms of Services:
Each Warehoused Bet purchase is paid in full from your Account at the time title transfers.
Warehoused Bets are not extended on credit. The funding architecture for Warehoused Bet purchases reflects AmWest’s license obligations under applicable racing law.
12. Where These Features Are Available
Bet Generation, Private Pools, and Warehoused Bets are available only to users located in jurisdictions where AmWest is authorized to offer them under its license(s) and where Vision is authorized to make them available. Vision may restrict, modify, or stop offering any of these features in any jurisdiction at any time, consistent with applicable law and AmWest's license(s).
13. Regulatory Compliance
All features described in these Additional Terms remain subject to applicable racing laws, totalizator rules, and Oregon Racing Commission requirements. Vision or AmWest may modify, suspend, or discontinue any feature, function or other service element(s) where necessary to comply with applicable law, regulatory guidance, operational requirements or lawfully prevent or limit loss or liability.
Any Account Restriction, Account Suspension, or Account Termination arising from or in connection with the features described in these Additional Terms, including Warehoused Bets, Private Pools, and Bet Generation, is subject to the definitions, notice provisions, and process set out in section 19 of the main Terms of Service, which applies in full to these Additional Terms.
14. Dispute Resolution
Disputes arising from or relating to these Additional Terms, including any dispute concerning Warehoused Bets, Private Pools, or Bet Generation, are subject to the dispute resolution, arbitration, class action waiver, and limitation period provisions set out in sections 23.1 to 23.11 inclusive of the main Terms of Service, which apply in full to these Additional Terms.
15. Liability
The Liability and indemnity provisions of the main Terms of Service apply fully to these Additional Terms.
